These Terms of Service ("Terms") constitute a binding agreement between you and Coyl SIA ("Coyl", "we", "us") governing your access to and use of the Coyl platform (the "Platform"). By creating an account or otherwise using the Platform, you accept these Terms in full. If you do not agree, you must not use the Platform.
You must be at least 18 years old and capable of forming a binding contract to use the Platform. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate and complete information when registering and keep it up to date.
Coyl operates a peer-to-peer marketplace that enables Users to list, discover, and purchase pre-owned electronic devices. Coyl is not the seller of any device listed on the Platform and is not a party to the contract of sale formed between a Buyer and a Seller. Our role is limited to providing the technology, escrow, and dispute-support infrastructure that facilitates such transactions. Coyl does not own, inspect in person, or take possession of listed devices except where explicitly stated.
By publishing a Listing, a Seller represents and warrants that:
Coyl may remove any Listing, at its discretion, that it believes violates these Terms or applicable law.
Sellers are charged a service fee of 5% of the sale price, deducted from the seller payout at the time funds are released. Listing is free for the first 30 days. After that, a Listing stays in the shop only if the Seller renews it, at €2 for each further 30 days, until the device sells or the Listing is withdrawn. Until card payments are available on the Platform, renewing is free of charge. Buyers pay €20 shipping on orders with a sale price under €400; shipping is free from €400. Fees are disclosed to the Seller before a Listing is published and are subject to change on a prospective basis with reasonable notice.
When a Buyer places an Order, payment is held in Escrow and is not released to the Seller until the conditions in this section are met. Upon confirmation of payment, the Seller is notified to ship the device using a tracked courier. The Buyer has 72 hours from confirmed delivery to inspect the device and either confirm the transaction or raise a dispute. If no action is taken within this window, the Order is automatically confirmed and funds are released to the Seller.
Payments aren't live yet. Payment processing is currently simulated for demonstration purposes and no real funds are transferred. This section describes how the escrow flow is designed to operate once a live payment processor is integrated.
Buyers agree to inspect a delivered device promptly and in good faith, and to raise any discrepancy between the device received and its Listing within the 72-hour inspection window described in §6. Frivolous or bad-faith disputes may result in account suspension under §12.
If a Buyer raises a dispute within the inspection window, Coyl will review the evidence submitted by both parties, including the Buyer's photos, and may ask either party for more information. Coyl's determination of a dispute, made in good faith and based on the evidence available, is intended to be final as between the Buyer and Seller for the purposes of releasing or refunding Escrowed funds, without prejudice to either party's other legal rights.
You must not use the Platform to: list stolen, counterfeit, or unsafe goods; circumvent Escrow or attempt to complete a transaction off-platform to avoid fees; manipulate condition grading or Diagnostic Report data; harass or defraud another User; scrape or reverse-engineer the Platform; or violate any applicable law.
The Platform, including its design, software, and branding, is owned by Coyl and protected by intellectual property law. Users retain ownership of content they upload (such as listing photographs) but grant Coyl a non-exclusive, worldwide, royalty-free licence to host, display, and reproduce that content as necessary to operate the Platform.
The Platform is provided "as is" and "as available". To the maximum extent permitted by applicable law, Coyl disclaims all warranties, express or implied, regarding the Platform and any device listed on it. Coyl's aggregate liability arising out of or relating to these Terms or your use of the Platform shall not exceed the greater of €100 or the fees you paid to Coyl in the twelve months preceding the claim, except where liability cannot be limited under applicable law (including liability for death, personal injury, fraud, or wilful misconduct).
We may suspend or terminate your account, with or without notice, if we reasonably believe you have violated these Terms, applicable law, or pose a risk to other Users or the Platform. You may close your account at any time from your account settings.
These Terms are governed by the laws of the Republic of Latvia, without regard to its conflict-of-law principles, and without prejudice to any mandatory consumer-protection rules of your country of residence within the European Union. Any dispute not resolved under §8 shall be subject to the exclusive jurisdiction of the courts of Latvia, save where mandatory law grants you the right to bring proceedings in your own jurisdiction.
Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
Entire agreement. These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Coyl regarding the Platform.
Changes. We may amend these Terms from time to time. Material changes will be notified in advance; continued use of the Platform after changes take effect constitutes acceptance.
Assignment. You may not assign your rights under these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
